1. Introduction & Acceptance

Welcome to CoTask IT Solutions. These Terms & Conditions ("Terms") govern your access to and use of cotasks.com (the "Site") and any services we provide, including SEO, Google Ads, Meta Ads, social media marketing, Shopify website and app development, email marketing, and marketplace account management for platforms such as Amazon, Noon, Namshi, Trendyol, and FirstCry.

By accessing the Site, submitting an inquiry, booking a consultation, or engaging our services, you accept and agree to be bound by these Terms and by our Privacy Policy. If you do not agree with any part of these Terms, please do not use our Site or services.

2. Definitions

  • "Company," "we," "us," "our" refers to CoTask IT Solutions.
  • "Client," "you," "your" refers to any individual, business, or brand that uses the Site, submits an inquiry, or engages our services.
  • "Services" means any digital marketing, web/app development, or marketplace management services provided by us, as described in an agreed proposal, quote, or contract.
  • "Third-Party Platforms" means external platforms such as Google, Meta, Amazon, Shopify, Noon, Namshi, Trendyol, FirstCry, and payment processors.

3. Use of Website

The content on this Site — including text, blog articles, case studies, pricing indications, and graphics — is provided for general informational purposes only and does not constitute a binding offer. We reserve the right to modify, update, or discontinue any part of the Site at any time without prior notice.

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable local, national, or international law.
  • Attempt to gain unauthorized access to our systems, servers, or any connected networks.
  • Copy, scrape, reproduce, or redistribute Site content without our prior written consent.
  • Introduce viruses, malware, or any other harmful code through the Site.

4. Eligibility

Our Site and services are intended for businesses and individuals aged 18 and older who have the legal authority to enter into binding agreements on behalf of themselves or the company they represent. By using our services, you confirm that you meet this requirement.

5. Services We Offer

CoTask IT Solutions provides digital growth services which may include, without limitation:

  • Search Engine Optimization (SEO) and content marketing.
  • Google Ads (PPC) and Meta Ads (Facebook/Instagram) management.
  • Social media marketing and management.
  • Shopify website design, development, and store optimization.
  • Mobile app design and development.
  • Email marketing and CRM automation.
  • Marketplace account setup, listing optimization, and advertising management for Amazon, Noon, Namshi, Trendyol, FirstCry, and similar platforms.

Specific deliverables, timelines, and scope for each engagement will be defined in a separate proposal, quote, or service agreement, which forms part of these Terms once signed or otherwise accepted by both parties.

6. Proposals, Quotes & Contracts

Any pricing, packages, or timelines mentioned on the Site are indicative and subject to change. A binding engagement only comes into effect once a formal proposal, quote, or service agreement has been reviewed and accepted (in writing or via digital acceptance, such as email confirmation or e-signature) by both CoTask IT Solutions and the Client. In case of any conflict between this page and a signed service agreement, the signed agreement will prevail.

7. Fees & Payment Terms

  • Fees for services are outlined in the applicable proposal or contract and may be billed as one-time, monthly retainer, or milestone-based payments.
  • Advertising spend for Google Ads, Meta Ads, or marketplace advertising is separate from our management fees, unless otherwise specified in writing.
  • Late or missed payments may result in suspension of services until outstanding amounts are settled.
  • All fees are exclusive of applicable taxes unless stated otherwise.

8. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide timely, accurate information, brand assets, and account access required for the project.
  • Review and approve deliverables, ad creatives, and campaigns within agreed timeframes.
  • Ensure that any content, images, trademarks, or data you provide to us does not infringe on third-party rights.
  • Maintain valid billing details and settle invoices promptly, including any third-party advertising spend.

9. Marketplace & Ad Account Access

Where our services require access to your Amazon SPN connection, Amazon/Google/Meta Ads accounts, Noon, Namshi, Trendyol, FirstCry seller portals, or Shopify admin, you grant CoTask IT Solutions temporary, limited access solely for the purpose of delivering the agreed services. You may revoke this access at any time; however, doing so may affect our ability to continue providing the relevant services. We are not responsible for any suspension, penalty, or policy action taken by a Third-Party Platform that results from information or approvals provided by you.

10. Third-Party Platforms

Our services rely on Third-Party Platforms such as Google Ads, Meta Ads, Shopify, and Amazon and regional marketplaces (Noon, Namshi, Trendyol, FirstCry). These platforms have their own terms of service, policies, and algorithms, which are beyond our control. CoTask IT Solutions is not liable for outages, policy changes, account suspensions, or ranking/algorithm changes made by these Third-Party Platforms.

11. Intellectual Property

All content on this Site, including text, graphics, logos, case studies, and design elements, is owned by CoTask IT Solutions or its licensors and is protected by copyright and trademark laws, unless otherwise stated. Unauthorized reproduction, distribution, or use of any material from this Site is prohibited.

Deliverables created for a Client (such as website code, creatives, or ad copy) will transfer to the Client upon full payment, unless otherwise specified in the applicable service agreement. CoTask IT Solutions retains the right to showcase completed work in its portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing.

12. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or technical information shared during the course of the engagement, and to use such information solely for the purpose of fulfilling the services, except where disclosure is required by law.

13. Cancellation & Refunds

Cancellation notice periods, refund eligibility, and early-termination terms will be specified in your service agreement. As a general policy, fees already paid for work completed or advertising spend already delivered to Third-Party Platforms are non-refundable. Any applicable refunds for undelivered work will be assessed on a case-by-case basis.

14. No Guarantee of Results

While CoTask IT Solutions uses industry best practices for SEO, advertising, and marketplace management, digital marketing results depend on many factors outside our control, including competitor activity, platform algorithm changes, market conditions, and Client-provided assets and approvals. We do not guarantee specific rankings, traffic, sales, or return on ad spend, and no such guarantee should be inferred from any statement on this Site.

15. Limitation of Liability

To the fullest extent permitted by law, CoTask IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from your use of the Site or our services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless CoTask IT Solutions, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or any content, assets, or account access you provide to us.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with applicable local laws in the jurisdictions where CoTask IT Solutions operates, including the United States and the United Arab Emirates, without regard to conflict-of-law principles. Any disputes arising from these Terms or our services shall first be attempted to be resolved amicably, and failing that, through the courts or arbitration bodies of the relevant operating jurisdiction as specified in your service agreement.

18. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. Updates will be posted on this page with a revised "Last updated" date. Continued use of the Site or our services after changes are posted constitutes your acceptance of the updated Terms.
